INTRODUCTION

Welcome to ALIINE's website. ALIINE, based in California, pioneered the creation of pre-workout supplements in gummy form and related products (our "Products").

These terms of service are entered into by and between you and ALIINE ("Company," "we," or "us"). The following terms, together with any documents expressly incorporated by reference collectively, "Terms of Service", govern your access to and use of www.ALIINE.com, including any content, functionality, and services offered on or through www.ALIINE.com (the "Website" or "Site"), whether as a guest or a registered user.

This Site is hosted by Shopify Inc and is subject to the Shopify Terms of Service and Shopify Privacy Policy. Shopify Inc. provides us with the online e-commerce platform that allows us to sell our Products and Services to you. "Services" refers to any access to our Website or functions in connection thereof such as making a purchase or subscription arrangement for ALIINE's Products, registering for an account, or signing up for text or email communications from ALIINE.

By using the Website, or by clicking to accept or agree to the Terms of Service, you engage in our Service and accept and agree to be bound and abide by these Terms of Service and our Privacy Policy, incorporated herein by reference. ELIGIBILITY

ALIINE's Services are offered and available for persons who are 18 years of age or older and reside in the United States.

ALIINE does not ship our Products outside of the United States. We make no claims that the Services or any contents thereof are accessible or appropriate outside of the United States. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

By using our Services, you represent and warrant that you are of legal age to form a binding contract with ALIINE and meet all the foregoing eligibility requirements. If you do not meet all these requirements, you must not access or use the Services.

ALIINE STORE TERMS

We reserve the right, but are not obligated, to (i) limit the sales of our Products or Services to any person, geographic region or jurisdiction on a case-by-case basis; (ii) limit the quantities of any products or services that we offer; (iii) discontinue any product at any time. All descriptions of Products or product pricing are subject to change at our sole discretion without notice. We do not warrant that the quality of any Products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

Avoid misuse of our Product and do not exceed our recommendations for suggested use. Before using any products offered on these websites, carefully read all labels and heed all directions and cautions that accompany the products. Please refer to our Health and FDA Warning/Disclaimer below.

PAYMENT AND SUBSCRIPTION TERMS

You are obliged to provide current, complete, and accurate information for your billing account. You are responsible for promptly updating all information to keep your billing account current, complete, and accurate, including but not limited to change in billing address, credit card information, or credit card expiration date. ALIINE offers both one-time purchases and subscription-based payments; ensure timely updates to your billing information to avoid interruptions in service or delivery for either option.

  1. AUTOMATIC PAYMENT. a. ALIINE Products may be purchased through a subscription. To participate in ALIINE's auto-renewal subscriptions, you expressly agree to the terms of the auto-renewal offer and understand the cancellation. b. Purchasing a subscription method through the Site, or any third-party provider thereof, will initiate regular recurring charges to the payment method you provide.
  2. RENEWAL PRICING. a. The renewal price for your subscription is based on the pricing and delivery schedule at the time of the initial subscription purchase, subject to any discounts. b. The renewal amount is charged at the end of every renewal period that follows the initial subscription period and continues until it is terminated by either party. c. ALIINE reserves the right to update pricing or delivery schedules, we will notify you of any such changes in advance.
  3. CANCELLATION. a. You have the right to terminate renewal of your subscription and payment authorization at any time. To avoid a recurring charge, you must cancel your subscription by the last day or your billing period through [Link to terminate Subscription or contact us at email/phone number]. b. The last subscription shipment prior to a new billing cycle will still be sent to you.

SHIPMENT

Once a properly completed order, your authorization, and a form of payment have been received, we will promptly locate the Product you have ordered to place them in line for shipment. We will ship Products ordered to an address designated by the purchaser as long as that shipping address is compliant with the shipping restrictions contained on this Site.

Delivery Times: Orders are typically processed within 1-2 business days after payment confirmation, with estimated delivery of 2-5 business days after shipment via standard shipping to addresses within the United States.

All items are subject to availability. We will promptly inform you if the Product(s) you have ordered are not available and we will issue a full refund for the unavailable item or work with you on an alternative solution at our discretion. You may cancel your next shipment from your subscription up to [5 to 7 days] prior to your delivery date to avoid being charged for that shipment.

Risk of loss and title for Products purchased from this Site pass to you upon delivery of the items to the carrier. We are not liable for any delays in shipments. You are responsible for filing any claims with carriers for damaged and/or lost shipments, though we're here to help guide you through that process if needed.

RETURN/REFUND POLICY

ALIINE allows for refunds outlined in these terms subject to other circumstances, promotions, or features in our own discretion.

  1. If a Product described on the Websites is not as described when you receive it, or the packaging on the Websites does not match the product you receive, a. your sole remedy is to return it to us in an unused and undamaged condition. b. You must request a refund for your order [within 30 days] of placing your order with us by going to https://shopify.com/94038688049/account or emailing us. In this e-mail you must include your name, your order number, the date of your purchase and your address and bank details. c. ALIINE must receive the returned Product and conduct an inspection to see that it is in a factory sealed container to give you a refund. The refund will be transferred to the payment method you placed the order on after receipt of the returned product.   2. If we discover an error regarding the availability of any product on the Site has occurred after your credit card has been charged, a. your order is canceled as a result of the error and your credit card will be refunded the full amount of your order.

Certain jurisdictions may provide additional statutory rights. Nothing herein is meant to limit your return or cancellation rights under local law.

USER ACCOUNT TERMS

Users may create an ALIINE personal account for various activities, such as but not limited to managing orders, notifications, personal details, or accessing additional features. However, to place a subscription order for our Products, you are required to create a personal account with ALIINE.

The user will not share their ALIINE personal account password with anyone; only one unique person will use each ALIINE personal account. Also please be aware that by sharing unique login information users increase the risk that their usage history and payment method may be disclosed to unauthorized persons.

  1. COMMUNICATIONS. a. When you create an account, you consent to receive (a) transactional email regarding the status of your Account and the Subscription; and (b) marketing and promotional email offers and updates from ALIINE. b. Members may not unsubscribe from receiving transactional email regarding the Subscription. c. Members may withdraw consent and unsubscribe from ALIINE marketing and promotional emails at any time via the unsubscribe link in that email.
  2. SUSPENSION. a. ALIINE shall have the right to cancel your order or to suspend or terminate your account in our sole discretion if we have reasonable grounds to believe that i. you have provided inaccurate, not current, fraudulent, or incomplete payment information to ALIINE; ii. you are placing orders with the intent to resell items offered on the Websites or are otherwise using or intend to use the products inappropriately or illegally; or iii. you failed to comply with these Terms or any special terms related to a particular service, for infringing copyright, or for any other reason whatsoever.

THIRD PARTY SERVICE PROVIDERS

This Site is an online e-commerce platform hosted by Shopify Inc. and is subject to Shopify's Terms of Service. ALIINE uses third party service providers to help develop and maintain this Site and to provide specific services offered through this Site.

We are not responsible for examining or evaluating the content or accuracy, and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties to the fullest extent permitted by law. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third party's policies and practices and make sure you understand them before you engage in any transaction.

Any complaints, claims, concerns, or questions regarding third party services should be directed to the third party.

INTELLECTUAL PROPERTY RIGHTS

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, features, and arrangement thereof) are owned by ALIINE, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Service permit you to use the Website for your personal, non-commercial use only:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
  • If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

ALIINE is free to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback in any way, including incorporating such Feedback into the products or the Site, without obligation to you or any third party at its sole discretion.

ALIINE takes no responsibility and assumes no liability for Your Feedback or for any Third-Party Feedback. You are responsible for the information and other content contained in any Feedback you submit to us, including, without limitation, its truthfulness and accuracy.

LIMITATIONS OF LIABILITY

To the fullest extent permitted by applicable law, in no event shall ALIINE be liable to you or any third party for any direct, indirect, consequential, incidental, special, compensatory, or punitive damages or losses, or damages for loss of income, loss of business profits, business interruption, loss of data or business information, or loss of or damage to property, or claims of third parties, or other pecuniary loss, arising out of or related to

(i) this agreement, (ii) the use of ALIINE website, (iii) the use of any other site or page accessible from ALIINE website, or (iv) the acquisition or use of any goods purchased through ALIINE website.

In no event will the cumulative liability of ALIINE arising out of or related to this agreement or to any such use or acquisition exceed the replacement cost of any such goods giving rise to the claim. To the extent that some jurisdictions do not allow exclusions or limitations on some categories of damages, these exclusions or limitations may not apply to you.

The foregoing disclaimers and limitations of liability apply regardless of the causes or circumstances giving rise to the loss, damage, claim, or liability, even if such loss, damage, claim, or liability is based upon breach of contract (including, without limitation, a claim of fundamental breach), tort (including, without limitation, negligence), strict liability, or any other legal or equitable theory, and even if advised of the possibility of the loss, damage, delay, claim, or liability.

And whether ALIINE has been informed of the possibility of any such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, ALIINE, its related entities, its service providers, its licensors, and its or their respective officers, directors, employees, or agents expressly disclaim all warranties of any kind, whether express, implied, or statutory, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement of intellectual property, related to our services. To the extent that some jurisdictions do not allow exclusions of implied warranties, these exclusions or limitations may not apply to you. Please refer to your local laws for any such prohibitions.

You understand and agree that:

  1. Your use of ALIINE Site and Services is at your sole risk. The Site is provided strictly on an "as is" basis.
  2. ALIINE does not warrant, represent, guarantee, or covenant that the Site will be uninterrupted or error-free; nor does ALIINE make any guarantee, warranty, representation, or covenant as to the results that may be obtained from the use of ALIINE website, or as to the accuracy, reliability, or content of any information or service on the site. The information, materials, and services provided on or through this website may be out of date, and neither ALIINE nor any of its respective affiliates nor suppliers makes any commitment or assumes any duty to update such information, materials, or services. Without limiting the generality of the foregoing, we hereby expressly disclaim all liability for product defect or failure, claims that are due to product misuse, abuse, product modification, improper product selection, non-compliance with any codes, or misappropriation.

FORCE MAJEURE

We will not be liable or responsible to you, nor be deemed to have breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities, terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, or telecommunication breakdown or power outage.

TERMINATION

We may terminate this agreement in our sole discretion at any time without notice if we suspect that you have failed to comply with any term or provision of these Terms of Service. We reserve the right to deny you any further access to this Site or any part thereof.

You will remain liable for all amounts due up to and including the date of termination. Provisions that survive termination of these Terms of Service are those relating to ownership, limitations of liability, indemnification and others which by their nature are intended to survive for all purposes.

WAIVER

No waiver of any of the provisions in these Terms is effective unless explicitly set forth in writing and signed by ALIINE. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from these Terms operates or may be construed, as a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.

INDEMNITY

You agree to defend, indemnify, and hold harmless ALIINE, and its affiliates, licensors, and service providers, and its and their respective officers, agents, employees, contractors, licensors, suppliers, successors, and assigns from and against any alleged claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) due to or arising out of your violation of these Terms of Service. You are solely responsible for your actions when using ALIINE's products, contents, and services.

MEDIATION

You agree to first attempt to resolve any dispute related to the Products or Services with ALIINE by sending a notice to ALIINE or using the contact information below. You agree to allow ALIINE [30 calendar days] to response. ALIINE may offer remedies such as a full refund, product replacement, discount, or other mutually agreed upon compensation in our response.

If a compromise cannot be reached and the dispute cannot be settled through direct discussions, the parties agree to endeavor to settle the dispute by mediation administered by a neutral third-party. Any resulting agreement is non-binding for either party.

SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

CHOICE OF LAW

These Terms of Service shall be governed by and construed in accordance with the laws of the [State of California], without regard to any choice or conflicts of law provisions.

JURISDICTION AND VENUE

Any controversies or claims arising out of or relating in any way to these Terms or a breach thereof, shall be adjudicated in the courts of the State of [California].

You are responsible for regularly reviewing the Site and these Terms of Service regarding such changes. Continued use of the Site after any such changes have been posted shall constitute your agreement to them.

ENTIRE AGREEMENT

These Terms and our Privacy Policy constitute the entire understanding and agreement between you and us with respect to the use of our Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both oral and written.
